Terms and Conditions for Blazie Agent

These Terms and Conditions (the “Terms”) govern your use of Blazie Agent (the “Software”). By installing, or using the Software, you agree to these Terms in full.

If you do not agree to these Terms, you may not install, or use the Software.

The Software is provided by Blazie Engineering Limited, a company registered in England and Wales having registration number 03715365 and whose registered address is at 16 Great Queen Street, London, WC2B 5AH (in these terms “us”, “we” or “Blazie”).

1. License Grant and Subscription

  1. 1.1 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for your personal or internal business purposes.
  2. 1.2 During the subscription period (i.e. the period for which a subscription is purchased), Blazie will provide access to the Software and associated AI service, subject to these Terms, in exchange for the relevant subscription fee.

2. User Obligations

  1. 2.1 You agree to use the Software in accordance with all applicable laws and regulations, including the laws of the United Kingdom.
  2. 2.2 You must abide by Open AI’s Usage Policy while using the Software. Failure to comply may result in suspension or termination of your access.
  3. 2.3 You are solely responsible for any content transmitted to or through the Software, and any outputs you receive via the Software as a result. You must ensure that any content you upload, submit or transmit via the Software is not objectionable, misleading, fraudulent or harmful.

3. Fair Usage Policy

  1. 3.1 You agree to use the Software fairly and primarily for its intended purpose (i.e. the general use of ChatGPT via an accessible interface for personal or small business use). We reserve the right to monitor usage and limit access if your usage is deemed excessive, abusive, or unfairly impacts other users.

4. Intellectual Property

  1. 4.1 All intellectual property rights in the Software, including but not limited to patents, copyrights, trademarks, and trade secrets, belong to us or our licensors. No rights are granted to you except as expressly stated in these Terms.

5. Data Privacy

  1. 5.1 We respect your privacy and are committed to protecting your personal information. Any data collected through your use of the Software will be processed in accordance with our Privacy Policy.
  2. 5.2 Any personally-identifiable information passed to OpenAI via the Software is not accessible to Blazie and we therefore are not a data processor with respect to any such information.

6. Warranties

  1. 6.1 Blazie warrants that:
    1. A. it has the right to make the Software and connected third-party AI service available to you in accordance with these Terms ; and
    2. B. it will use reasonable skill and care in making the Software available to you.
  2. 6.2 Because of the nature of the Internet and software, errors and omissions do occur. Accordingly, save as provided in clause 6.1 above, Blazie does not give any other warranties in respect of the Software. In particular, Blazie makes no warranty that your use of the Software and third-party AI service will be uninterrupted or error free. All implied warranties are excluded from these Terms to the extent that they may be excluded as a matter of law.

7. Limitation of Liability

  1. 7.1 Blazie will use its reasonable endeavours to remedy faults in the Software, or any breach of the warranties given at clause 6.1 above, which are reported to it during your subscription period. If Blazie is in breach of these Terms, you agree that your only recovery for damages that you incur, and your exclusive remedy, shall be limited to an amount equivalent to any Subscription Fees paid in relation to your use of the Software for the relevant subscription period. Where no payment has been made with respect to the subscription, your only remedy will be to terminate your use of the Software.
  2. 7.2 To the fullest extent permitted by law, we exclude all liability for any loss or damage arising from the use of or inability to use the Software, including but not limited to indirect, consequential, or incidental damages.

8. Indemnification

  1. 8.1 You agree to indemnify and hold us harmless from any claims, losses, liabilities, damages, costs, or expenses, including legal fees, arising out of your use of the Software or your violation of these Terms.

9. Termination

  1. 9.1 We may terminate or suspend your access to the Software at any time for any reason, including but not limited to your violation of these Terms.
  2. 9.2 If you are a consumer, you have a legal right to change your mind within fourteen (14) days after the commencement of your subscription and receive a refund. You have fourteen (14) days following the day that you purchased your subscription to exercise this right. However, if you have accessed and used the Software during this period, we reserve the right to charge a reasonable price for your use of the Software up until the time you tell us that you have changed your mind. If you have changed your mind, you may cancel your subscription at any time and you will continue to have access through the end of your subscription period (or free trial period, if applicable). You will not have the right to receive any pro-rated refunds if you cancel your subscription period early. You can cancel by logging into your account at https://www.blazieagent.com, activating the ‘Show’ link for your current subscription and pressing the ‘Cancel’ button. You must cancel your subscription at least 24 hours before your next payment date in order to avoid being billed for the next subscription period.

10. Governing Law

  1. 10.1 These Terms and any disputes arising from them shall be governed by the laws of England and Wales, without regard to its conflict of law principles.

11. Changes to Terms

  1. 11.1 We reserve the right to change these Terms at any time. We will notify you of any material changes by posting the new Terms on our website. Your continued use of the Software after any changes constitutes your acceptance of the new Terms.

12. Severability

  1. 12.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
